A project management assistant can become a builder
Summary for decision-makers
A project management assistant is not a contractor, unless their role becomes one. The public procurement code restricts assistance to specialized projects, where project management and the mandate have other implications. As soon as the role includes directing the execution of the works or technical coordination, the courts consider it a contract for services, and the ten-year warranty applies. Therefore, the scope of work defined in the contract determines the liability incurred, never the title of the role itself.
Hiring a project management assistant may seem innocuous, since one is essentially buying advice. However, the public procurement code distinguishes four ways of obtaining assistance, each with distinct legal effects, and both administrative and civil judges examine the actual work performed before classifying the service provider.
Four forms of assistance that the code distinguishes
Article L. 2422-1 of the French Public Procurement Code lists the four options available to the contracting authority. These are project management assistance, project management, project management mandate, and transfer of project management. These four methods do not overlap and do not produce the same legal effects.
Project management assistance, as defined in Article L. 2422-2, covers one or more specialized areas : developing the program, setting the provisional budget, or providing technical, financial, legal, or administrative advice. Project management, as defined in Article L. 2422-3, is of a different nature, as it constitutes general administrative, financial, and technical assistance and requires a written contract. The mandate under Articles L. 2422-5 et seq. goes further: the agent represents the project owner and exercises certain of its powers, within the limits of the program and budget.
| Modality | Product | Scope of the mission | Representation of the project owner |
|---|---|---|---|
| Project management | L. 2422-2 | one or more specialized objects | immense |
| Operation management | L. 2422-3 | General assistance, written contract required | immense |
| Project management mandate | L. 2422-5 | delegated responsibilities, within the limits of the program and the budget | Yes |
| Transfer of project management | L. 2422-12 | overall project management entrusted to another project owner | not applicable |
This distinction is not doctrinal. It dictates what the service provider can sign, what they can commit to, and for what they are subsequently liable. A contract that mentions assistance but grants the services of an agent will be interpreted for what it establishes, not for what it announces.
The program and budget remain with the project owner.
Article L. 2421-1 lists the responsibilities of the project owner that cannot be removed from their position by any external assistance. It is their responsibility to verify the feasibility and suitability of the project, determine its location, develop the program, and establish the provisional budget. They are also responsible for securing financing, choosing the implementation process, and awarding contracts. None of these responsibilities can be delegated through a consulting contract.
The program's content is also defined. According to Article L. 2421-2, it sets out the project's objectives, the needs to be met, as well as the constraints and requirements regarding social, urban planning, and architectural quality, and environmental protections. Article L. 2421-3 specifies when it must be finalized: before the start of preliminary design studies , at the same time as the budget. Article L. 2421-4 provides flexibility for renovations and complex projects.
An assistant prepares these elements, documents them, and calculates the costs. They do not finalize them. The confusion between preparing and deciding is a classic source of disputes in these contracts, and it is resolved by clearly defining the scope. The same care is required when deciding between new construction and renovation , a decision that also rests solely with the project owner.
Why can't assistance and project management be combined?
Article L. 2422-4 establishes a clear incompatibility. Project management cannot be carried out by a person responsible, for the same project, for project design, technical supervision, or execution of the works. The same principle applies to the project owner's mandate.
The reason can be summed up in one sentence: the advisor to the client cannot control their own work. A project manager who is also the project manager would be making their own design choices. This incompatibility protects the client far more than it constrains the service provider.
In practice, this rule requires mapping the stakeholders from the outset of the project, just as it does the regulatory framework applicable to the project. A consortium that provides both support and part of the design work would run afoul of Article L. 2422-4. The review process takes place at the application stage, when it is still relatively inexpensive.
Under what conditions does an assistant become a builder?
The risk lies here, and it stems not from the public procurement code but from the civil code. Article 1792-1 defines as a builder "any architect, contractor, technician, or other person bound to the project owner by a contract for services." The same article also covers any person who, acting as the project owner's agent, performs a task comparable to that of a contractor. This status entails the ten-year liability stipulated in Articles 1792 et seq.
The Council of State applied this principle to a project management assistant in its decision of March 9, 2018, No. 406205. The examined mission included the coordination of works and technicians, ongoing technical, administrative, and financial assistance, the management of the execution of the works, and assistance with the acceptance procedures. This arrangement was classified as a contract for services, and the ten-year liability was invoked. The Court of Cassation adopted a similar analysis in a judgment of its Third Civil Chamber of April 13, 2023, No. 22-11.024.
The consequence is direct for engineering firms and consulting firms. It is the actual scope of the assignment that determines eligibility, never the contract title. A service limited to administrative, legal, and financial advice remains outside the scope of the ten-year warranty. A service that involves design, technical coordination, or project management falls within it, regardless of the label given.
What clauses actually define the scope of the mission?
The solution is contractual and straightforward: specify what the assistant does, and specify what they do not do. A clause that expressly excludes directing the execution of the work, technical coordination, and assistance with acceptance procedures is more effective than a title, however precise. The judge examines the services described, not the document's heading.
The insurance aspect follows the same reasoning. Article L. 241-1 of the French Insurance Code requires anyone whose ten-year liability may be invoked to be covered by insurance and to provide proof of such coverage at the start of any construction project. An assistant who remains in an advisory role is solely responsible for their professional civil liability. An assistant whose role changes must hold a ten-year warranty; otherwise, they alone bear ten years of liability.
The work should be monitored on a project-by-project basis, even for operations considered minor. Modular construction is subject to the same rules as traditional construction. The nature of the project does not change the status of the service provider; only the specific task performed matters.
In the private market, none of these definitions applies.
Book IV of the Public Procurement Code applies only to public purchasers, according to Article L. 2410-1. And it doesn't apply to all of them, since Article L. 2412-2 excludes five categories of works. These include industrial works whose design is determined by the operating process, works carried out in coordinated development zones or housing estates, and buildings listed as heritage sites. A public contracting authority may therefore find itself outside the scope of Book IV for some of its operations.
Outside of this framework, project management assistance has no legal definition. It is a service contract subject to general law, the content of which depends entirely on its drafting. Article 1792-1 of the Civil Code, however, applies regardless of whether it is a public procurement contract. A private project owner who entrusts a broad mission therefore falls into the same category of reclassification, without the guidance provided by the code, even for programs as strictly regulated as specialized public facilities.
For engineering firms, construction economists, and consultants operating in this sector, the challenge is less about securing the contract than about defining its scope. The consulting market is growing as project owners internalize fewer skills. Clarity of the contractual scope is what distinguishes an intellectual service from a builder's responsibility, and it is established during the tendering process.
Frequently asked questions about project management assistance
What is a project management assistant?
This is a service provider who assists the project owner on one or more specialized tasks, as defined in Article L. 2422-2 of the French Public Procurement Code: developing the program, setting the provisional budget, and providing technical, financial, legal, or administrative advice. It does not represent the project owner and does not make decisions on their behalf.
What is the difference between project management assistance and project management?
The assistance relates to specialized items, while the project management involves general administrative, financial, and technical assistance, as defined in Article L. 2422-3 and formalized by a written contract. Furthermore, project management is incompatible with project ownership, technical control, and the execution of works on the same project.
How to choose between assistance, operational management, and mandate?
The determining factor is the desired level of commitment. Assistance provides specific expertise, project management offers continuous support, and a mandate grants the power of representation. Articles L. 2422-5 et seq. govern the latter, which requires a written contract specifying the assigned responsibilities, oversight mechanisms, and termination conditions.
How does the project owner finalize their program?
Article L. 2421-2 requires that the program state the objectives of the operation, the needs to be met, the constraints and requirements of social, urban planning and architectural quality, and environmental protections. Article L. 2421-3 requires that it be finalized, along with the provisional budget, before the commencement of preliminary design studies.
Is a project management assistant required to take out ten-year liability insurance?
Not because of its title. Article L. 241-1 of the French Insurance Code applies to any person whose ten-year liability may be invoked and requires proof of this liability at the start of construction. An assistant whose role includes project management or technical coordination falls within this scope and must therefore be covered.
Is an assistant necessary for a private transaction?
Nothing mandates it: Book IV of the Public Procurement Code only applies to public buyers, according to Article L. 2410-1. Recourse remains possible and frequent, but the contract then falls under common law, which makes the written definition of the scope even more crucial than in public procurement.
Glossary of terms related to project management and its assistants
Project management
This contract concerns one or more specialized items, as defined in Article L. 2422-2 of the French Public Procurement Code. The service provider advises and prepares the contract, without representing the contracting authority or making decisions on its behalf.
Operation management
General administrative, financial and technical assistance, as provided for in Article L. 2422-3 and formalized by a written contract. It is incompatible with project management, technical control and the execution of works.
Project management mandate
Written contract by which the project owner entrusts to an agent the exercise of certain of its powers, within the limits of the program and the provisional financial envelope, articles L. 2422-5 et seq.
Program
Document by which the project owner sets out the objectives of the operation, the needs to be met, the constraints and requirements of social, urban planning and architectural quality and environmental protections, article L. 2421-2.
Projected budget
The amount that the project owner sets for their operation, under Article L. 2421-1. It is fixed with the program before the start of the preliminary design studies, except for rehabilitation or complex works.
Hiring of work
A contract that binds a person to the client for the execution of a project. Article 1792-1 of the Civil Code establishes it as the criterion for the status of builder, and therefore for ten-year liability.
